PropProofs Terms of Service

Welcome to PropProofs

These Terms of Service ("Terms") constitute a legally binding agreement between you and TND Labs LLC ("PropProofs," "we," "us," or "our"). By accessing, creating an account, or using our platform, software, and services (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and warrant that you have the authority to bind that organization to these Terms.

1. Definitions

  • Service: The PropProofs software platform, which utilizes a cryptographic ledger to create, store, and verify records of construction project milestones, documentation, and approvals.
  • Proof Record: A data structure that includes User Content such as documents, photos, metadata, timestamps, and digital attestations, which is cryptographically sealed to the ledger upon Commitment.
  • User Content: All data, information, files, photos, videos, comments, and documents submitted by you or your authorized representatives to the Service.
  • Commitment: The action of finalizing a Proof Record, which generates a permanent, irreversible cryptographic hash on the ledger.
  • Approving Party: Any authorized user who performs a Commitment, thereby generating a verifiable attestation of approval.

2. The PropProofs Service

A. Scope of Service

PropProofs provides a technical platform for creating a verifiable, time-stamped history of property-related work. Our Service is designed to facilitate trust and transparency between parties but does not act as an arbitrator, auditor, or guarantor of the factual accuracy of User Content.

B. The Immutable Ledger

PropProofs warrants that, once a Proof Record is subject to a Commitment, the resulting cryptographic hash cannot be technically altered, backdated, or deleted from the Service by any party, including PropProofs administrators. This ensures the integrity of the record's existence at a specific point in time.

C. Disclaimer of User Content Accuracy

PropProofs is not an auditor, insurer, or guarantor.

We do not warrant, verify, or guarantee the accuracy, completeness, legality, or quality of the User Content. The responsibility for the veracity of all submitted information rests solely with the users who provide and approve it.

3. User Accounts & Responsibilities

A. Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

B. Acceptable Use

You agree not to misuse the Service or help anyone else to do so. This includes, but is not limited to, the following prohibited activities:

  • Uploading or sharing malicious software or illegal content.
  • Probing, scanning, or testing the vulnerability of any system or network.
  • Breaching or otherwise circumventing any security or authentication measures.
  • Using the Service for any purpose other than its intended use as a verifiable record-keeping system.

4. User Warranties & Content Ownership

A. The "Approve and Commit" Action

The Commitment of a Proof Record is a critical, legally significant action. By clicking “Approve and Commit,” the Approving Party makes the following essential warranties:

  • Accuracy of Work: You warrant that the work described has been physically inspected and verified as complete and accurate, and that it complies with all relevant contracts, codes, and permits.
  • Authenticity of Evidence: You warrant that all User Content submitted is authentic, contemporaneous, and has not been fabricated or misrepresented.
  • Authorized Capacity: You warrant that you are fully authorized to act in your represented role (e.g., Contractor, Property Owner) and are signing on behalf of the entity you represent.
  • Irrevocability & Reliance: You acknowledge that the Commitment is permanent and that third parties (e.g., lenders, insurers, future property buyers) may rely upon the Proof Record in making financial and legal decisions.

B. Ownership and License to User Content

You retain all ownership rights to your User Content. By submitting User Content to the Service, you grant PropProofs a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, publicly display, and distribute your User Content solely for the purpose of operating, improving, and promoting the Service (e.g., displaying Proof Records in the public lookup feature, system testing, and anonymized marketing materials). This license continues indefinitely for committed Proof Records to maintain the integrity of the ledger.

5. Fees and Payment

You agree to pay all applicable fees for the Service as described on our Pricing page. Fees are charged upon the successful Commitment of a Proof Record to the ledger. All such fees are non-refundable, regardless of whether the content of the Proof Record is later disputed or determined to be inaccurate. We use Stripe for payment processing, and you agree to their terms when providing payment information.

6. Termination

You are free to stop using our Service at any time. We reserve the right to suspend or terminate your access to the Service with notice to you if you are in breach of these Terms, or if your use of the Service could cause legal liability or disrupt others' use of the Service.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available."

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PROOFPROOFS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability & Indemnification

A. Limitation of Liability

To the fullest extent permitted by law, in no event will PropProofs, its affiliates, officers, or employees be liable for any indirect, special, incidental, punitive, or consequential damages, or for any loss of profits or revenues, arising from your use of the Service or the content of any Proof Record. Our aggregate liability shall not exceed the total fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

B. Indemnification

You agree to indemnify and hold harmless PropProofs from any claims, liabilities, and expenses, including attorneys’ fees, arising out of your use of the Service, including but not limited to your violation of these Terms or your submission of false or negligent User Content.

9. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Michigan. Any legal action or proceeding will be brought exclusively in the federal or state courts located in Washtenaw County, Michigan.

10. General Provisions

  • Modifications: We may revise these Terms from time to time. If a revision is material, we will provide you with at least 30 days' notice. By continuing to use the Service after revisions become effective, you agree to be bound by the revised Terms.
  • Entire Agreement: These Terms constitute the entire agreement between you and PropProofs and supersede any other prior agreements.
  • Severability: If any part of these Terms is held to be invalid or unenforceable, the remaining parts will remain in full force and effect.
